1. GENERAL

(i) These Conditions shall govern all transactions into which Medicore enters with its customers.

(ii) In these Conditions:

  • “customer” shall mean the other party to any quotation, offer, order or contract with or by Medicore.
  • “the goods” shall mean products manufactured or sold or services performed by Medicore or by the customer.
  • “Invoice” shall mean the document dispatched to the customer requiring payment and containing specifically or by inference these Conditions.
  • “Proforma Invoice” shall mean an invoice sent by Medicore to the customer requiring payment to Medicore before despatch of goods.
  • “Order” shall mean the goods requested by the customer either by facsimile, electronic mail or by post on the customer’s official order form or company letterhead.
  • “Consignment Note” shall mean the document accompanying the goods in their despatch and delivery from Medicore to the customer and on which the customer signs for receipt of goods on delivery and which is then returned to Medicore.
  • “Delivery Note” shall mean the document accompanying goods in their despatch and delivery from Medicore by post or carrier and on which Medicore lists the goods dispatched against the customer’s order.

(iii) No conditions or stipulations in or attached to any form of order submitted by the customer, or otherwise sought to be imposed by the customer, which are inconsistent with or seek to add to or modify these Conditions shall have any effect.

(iv) No person employed by Medicore or acting as its agent has authority to accept orders or supply goods on any conditions other than these Conditions, or to vary them, except by written agreement signed by the Managing Director of Medicore.

(v) No previous dealings or course of conduct between Medicore and any customer shall vary or replace these Conditions.

2. PRICES & QUOTATIONS

(i) All prices listed in the Medicore Price List are correct at the time of publication. Medicore will make all reasonable endeavours to ensure goods are available at these prices but cannot be held responsible if supplies are unobtainable or un-saleable.

(ii) All quotations are made at current prices listed but are subject to alteration in accordance with prices current at the time of despatch.

(iii) Prices quoted on Proforma Invoices are valid only for the period specified. Where no period is specified, prices are valid until the end of the calendar month in which the Invoice was raised.

(iv) All prices quoted are subject to Value Added Tax at the rate applicable at the time of despatch.

3. PAYMENT & SETTLEMENT TERMS

(i) Customers wishing to open credit facilities must apply in writing to Medicore, stating the credit limit required and providing two commercial references and one banker’s reference.

(ii) Medicore reserves the right to decline any credit application without giving reason.

(iii) Credit accounts must be settled within seven days of the statement date. Medicore reserves the right to charge interest on overdue amounts as permitted by law.

(iv) If a customer defaults on any account, all sums owed to Medicore become immediately due and payable.

(v) Customers without a credit account must pay by cheque, banker’s draft or credit card.

(vi) Medicore reserves the right to delay despatch pending cheque clearance.

(vii) Disputed invoices do not affect the obligation to pay all other invoices when due.

4. RETENTION OF TITLE

(i) The customer warrants that they are solvent and have not committed any act of bankruptcy or, if a company, are not subject to any circumstance that would permit insolvency proceedings.

(ii) Risk in the goods passes to the customer upon delivery.

(iii) Goods remain the property of Medicore until paid for in full, including payment for all other goods supplied under any contract.

(iv) Until ownership passes, the customer holds the goods as bailee for Medicore.

(v) Goods must be stored separately and clearly identifiable as Medicore’s property.

(vi) Medicore may repossess goods if insolvency occurs and may enter premises to recover them.

5. CARRIAGE & DELIVERY

(i) Medicore reserves the right to charge carriage.

(ii) Delivery dates are estimates only and not contractual obligations.

(iii) Medicore accepts no liability for loss or damage arising from delivery delays due to causes beyond its control.

(iv) The customer must:
a) Check goods and sign the delivery note in the driver’s presence;
b) Mark discrepancies on the consignment note;
c) Refuse damaged goods and note this accordingly.

(v) Claims must be submitted in writing within 24 hours of delivery. A consignment note signed “unexamined” will not be accepted.

(vi) Medicore is not liable for losses arising from non-compliance with carrier regulations.

(vii) Non-receipt of goods must be reported within 14 days of the Invoice date.

6. GUARANTEES

(i) Medicore provides no guarantee beyond that offered by the manufacturer.

(ii) Medicore accepts no liability for consequential loss or damage.

(iii) All descriptions, weights and dimensions are approximate and for guidance only.

7. ORDERS

(i) Medicore trades only with bona fide trade customers against official orders.

(ii) Medicore reserves the right to refuse, cancel, suspend, or part-deliver orders without explanation.

(iii) Order variations require written agreement from Medicore.

(iv) Orders must be confirmed in writing and signed by an authorised signatory.

(v) A handling charge may apply for cancelled orders.

(vi) Bespoke or special orders require a minimum three-month lead time and are non-cancellable.

8. RETURNS

(i) No goods may be returned without prior written consent from Medicore.

(ii) Returns must be accompanied by the original Invoice number and reason for return.

(iii) Medicore may refuse credit for goods unfit for resale.

(iv) A restocking charge may apply.

(v) Faulty goods will be replaced or credited and return costs refunded.

(vi) Medicore accepts no liability for loss or damage to returned goods.

(vii) Credit will only be issued for goods actually received.

(viii) Returnable packaging must be returned in good condition within fourteen days.

9. COPYRIGHT

All intellectual property and confidential information remain the property of Medicore and must not be disclosed.

10. FORCE MAJEURE

Medicore shall not be liable for failure or delay caused by events beyond reasonable control, including but not limited to acts of God, war, strikes, shortages, or power failure.

11. LAW

These Conditions are governed by the Laws of England, with jurisdiction of the Courts of England & Wales.

12. PRICE MATCH PROMISE (Selected Products Only)

Medicore offers a price match on selected products, subject to verification and the following conditions:

  1. The product is identical and delivery charges are comparable.
  2. The product is in stock and available for immediate delivery.
  3. The item is new and not ex-display or end of line.
  4. The offer can be verified.
